1. Introduction

Welcome to Concepts 'n' Clarity (referred to as "we," "us," "our," or the "Institute"). These Terms and Conditions govern your enrollment and participation in our CFA® (Chartered Financial Analyst®) and FRM® (Financial Risk Manager®) coaching programs.

By enrolling in any of our programs, paying fees, attending classes, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

2. About Our Coaching Services

2.1 Programs Offered

Concepts 'n' Clarity provides comprehensive coaching for:

• CFA Program: Level 1, Level 2, and Level 3
• FRM Program: Part 1 and Part 2

2.2 Learning Formats

We offer two flexible learning formats to suit your needs:

• Classroom Coaching: In-person classes at our Gurgaon center (M-23 Old DLF Colony, Sector 14, Gurgaon, Haryana 122001)
• Live Online Classes: Interactive sessions conducted through secure online platforms

2.3 What's Included

Our coaching programs typically include:

• Comprehensive study materials and printed notes
• Expert instruction from CFA and FRM charterholders
• Weekly assessments and practice tests
• Doubt clearing sessions
• Access to discussion forums and study groups
• Exam preparation guidance and strategies

3. Enrollment and Admission

3.1 Eligibility

To enroll in our coaching programs, you must:

• Be eligible to register for the respective CFA or FRM exam as per the requirements of CFA Institute or GARP
• Provide accurate and complete information during enrollment
• Be at least 18 years of age

3.2 Enrollment Process

Enrollment is complete only after:

• Submission of the completed enrollment form
• Payment of the required fees (as per the chosen payment plan)
• Receipt of enrollment confirmation from Concepts 'n' Clarity

3.3 Batch Size and Availability

We maintain a maximum of 20 students per batch to ensure personalized attention. Admission is granted on a first-come, first-served basis. We reserve the right to cancel or reschedule batches if minimum enrollment numbers are not met.

4. Fees and Payment

4.1 Program Fees

Program fees vary based on the course level, format (classroom or online), and payment plan selected. Current fee structures are available on our website, through our counselors, or at our Gurgaon center.

4.2 Payment Methods

We accept payments through:

• Bank transfer / NEFT / RTGS
• Cheque or Demand Draft
• UPI and digital wallets
• Credit/Debit cards (where applicable)

4.3 Payment Plans

We offer flexible payment options including:

• Full payment in advance (may include discount)
• Installment plans (subject to terms and conditions)

Students opting for installment plans must adhere to the payment schedule. Failure to make timely payments may result in suspension of services until outstanding dues are cleared.

4.4 Late Payments

A late payment fee may be charged if installments are not paid by the due date. Continued non-payment may result in termination of enrollment without refund of fees already paid.

4.5 GST and Other Charges

All fees are subject to applicable Goods and Services Tax (GST) as per Indian tax laws. Any additional government levies or taxes will be borne by the student.

5. Refund and Cancellation Policy

5.1 Cancellation by Student

If you wish to cancel your enrollment, the following refund policy applies:

• Before Course Commencement: 80% refund of fees paid (20% administrative charges apply)
• Within 7 Days of Course Commencement: 50% refund of fees paid
• After 7 Days of Course Commencement: No refund

5.2 Batch Transfer or Format Change

Students may request to transfer to another batch or change learning format (classroom to online or vice versa) subject to availability. Such requests should be made at least 7 days in advance. A nominal administrative fee may apply.

5.3 Cancellation by Institute

If Concepts 'n' Clarity cancels a batch due to insufficient enrollment or any other reason, students will receive:

• Full refund of fees paid, OR
• Option to transfer to another available batch without additional charges

5.4 No Refund Situations

No refunds will be provided in the following cases:

• Student fails to attend classes (regardless of reason)
• Student is expelled due to violation of institute policies
• Student does not clear the CFA or FRM exam (exam performance is not guaranteed)
• After completion of 50% or more of the scheduled classes

5.5 Refund Processing

Approved refunds will be processed within 15-30 business days from the date of approval. Refunds will be made to the original payment source.

6. Classes, Attendance, and Academic Policies

6.1 Class Schedule

Class schedules will be communicated to students before the batch commencement. While we strive to maintain the schedule, Concepts 'n' Clarity reserves the right to modify timings, dates, or venues due to unforeseen circumstances. Students will be notified of any changes in advance.

6.2 Attendance

While attendance is not mandatory, we strongly encourage regular participation to maximize learning outcomes. Students are responsible for covering missed material through recorded sessions (if available) or self-study.

6.3 Recorded Sessions

Where applicable, recorded sessions of classes may be provided for revision purposes. These recordings are for personal use only and must not be shared, distributed, or used for commercial purposes.

6.4 Study Materials

All study materials provided by Concepts 'n' Clarity are proprietary and protected by copyright. Students may not:

• Reproduce, copy, or distribute materials to non-enrolled individuals
• Share digital content, notes, or recordings on public platforms
• Use materials for commercial gain or to provide coaching to others

6.5 Assessments and Mock Tests

Regular assessments and mock tests are integral to our program. Students are encouraged to participate actively. However, performance in these assessments does not guarantee exam success.

7. Student Conduct and Responsibilities

7.1 Code of Conduct

Students are expected to:

• Maintain respectful behavior with faculty, staff, and fellow students
• Attend classes punctually (for classroom batches)
• Keep phones on silent mode during classes
• Not disrupt classes or engage in any form of misconduct
• Follow all safety and security guidelines at our premises

7.2 Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of enrollment without refund:

• Harassment, bullying, or discrimination of any kind
• Recording classes without explicit permission
• Sharing proprietary materials with non-enrolled individuals
• Attempting to copy or cheat during assessments
• Any illegal or unethical behavior on institute premises or online platforms

7.3 Personal Responsibility

Students are responsible for:

• Registering for CFA or FRM exams independently through official channels
• Meeting all exam eligibility requirements set by CFA Institute or GARP
• Managing their own study schedule and exam preparation
• Staying updated on exam dates, venues, and requirements

8. Intellectual Property Rights

8.1 Ownership

All content, materials, course curriculum, videos, notes, assessments, and other intellectual property provided by Concepts 'n' Clarity are owned exclusively by the Institute and are protected under Indian copyright laws.

8.2 Limited License

Upon enrollment, students are granted a limited, non-exclusive, non-transferable license to access and use the materials solely for personal exam preparation. This license terminates upon completion or termination of the program.

8.3 Restrictions

Students must not:

• Copy, modify, or create derivative works from our materials
• Sell, rent, lease, or sublicense materials to third parties
• Remove copyright notices or proprietary markings
• Reverse engineer any software or digital content

8.4 Infringement

Any violation of intellectual property rights may result in legal action and claims for damages as per applicable Indian laws.

9. Disclaimers and Limitation of Liability

9.1 No Guarantee of Results

While Concepts 'n' Clarity has a proven track record of high pass rates, we do not guarantee that any student will pass the CFA or FRM examinations. Exam success depends on multiple factors including individual effort, aptitude, and preparation beyond our coaching program.

9.2 Third-Party Exam Bodies

CFA Institute and GARP are independent organizations. Concepts 'n' Clarity is not responsible for:

• Changes to exam format, syllabus, or policies by these organizations
• Technical issues during exam registration or examination
• Exam cancellations, postponements, or venue changes
• Decisions regarding exam results, passing scores, or certifications

9.3 Information Accuracy

While we strive to provide accurate and up-to-date information, we cannot guarantee that all content is error-free or reflects the latest changes in CFA or FRM curriculum. Students should refer to official CFA Institute and GARP resources as the authoritative source.

9.4 Limitation of Liability

To the maximum extent permitted by Indian law, Concepts 'n' Clarity shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages
• Loss of income, opportunities, or career prospects
• Damages arising from reliance on information provided in classes
• Technical issues, internet connectivity problems, or platform failures

Our total liability, if any, shall not exceed the fees paid by the student for the specific program.

9.5 Force Majeure

Concepts 'n' Clarity shall not be liable for failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government orders, strikes, technical failures, or other force majeure events.

10. Privacy and Data Protection

10.1 Information Collection

We collect personal information including name, contact details, educational background, and payment information for enrollment and service delivery purposes.

10.2 Use of Information

Your information may be used to:

• Provide coaching services and communicate important updates
• Process payments and maintain financial records
• Send educational content, exam reminders, and promotional materials
• Improve our services and gather feedback

10.3 Data Security

We implement reasonable security measures to protect your personal information. However, no system is completely secure, and we cannot guarantee absolute security of data transmitted over the internet.

10.4 Third-Party Sharing

We do not sell or rent your personal information to third parties. We may share information with service providers (payment processors, technology platforms) who assist in delivering our services, subject to confidentiality agreements.

10.5 Data Retention

We retain your information for as long as necessary to provide services and as required by Indian law for accounting and legal purposes.

11. Termination

11.1 Termination by Student

Students may withdraw from the program subject to the refund policy mentioned in Section 5.

11.2 Termination by Institute

Concepts 'n' Clarity reserves the right to terminate a student's enrollment immediately without refund in case of:

• Violation of these Terms and Conditions
• Misconduct or behavior detrimental to the learning environment
• Non-payment of fees beyond the grace period
• Fraud, misrepresentation, or illegal activities

11.3 Post-Termination

Upon termination, students must:

• Cease using all proprietary materials and digital content
• Delete any downloaded materials or recordings
• Return any physical materials provided by the Institute

12. Amendments to Terms

Concepts 'n' Clarity reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website or notification to enrolled students.

Continued enrollment or use of our services after such changes constitutes acceptance of the revised terms. We recommend reviewing these terms periodically.

For major changes that significantly impact enrolled students, we will provide reasonable advance notice.

13. Governing Law and Jurisdiction

13.1 Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms and Conditions or the services provided by Concepts 'n' Clarity shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.

13.3 Dispute Resolution

In the event of any dispute, we encourage students to first contact us directly to seek an amicable resolution. If a mutually acceptable solution cannot be reached, either party may pursue legal remedies as per applicable law.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any enrollment agreement, constitute the entire agreement between you and Concepts 'n' Clarity regarding our coaching services.

14.2 Severability

If any provision of these terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Failure by Concepts 'n' Clarity to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

14.4 Assignment

Students may not transfer or assign their enrollment or any rights under these terms without our prior written consent. Concepts 'n' Clarity may assign these terms to a successor organization without restriction.

15. Student Acknowledgment

By enrolling in any program at Concepts 'n' Clarity, you acknowledge that:

• You have read and understood these Terms and Conditions in their entirety
• You agree to be bound by all provisions stated herein
• You understand that CFA and FRM are independent professional certifications requiring separate registration and examination through CFA Institute and GARP respectively
• You understand that our coaching service does not guarantee exam success or career outcomes
• You accept responsibility for your own exam preparation and registration
• You will comply with all policies, rules, and code of conduct of the Institute
